Terms & Conditions
These Terms & Conditions (“Terms”) govern the relationship between Vega Graphic Imaging (“Company,” “we,” “us,” or “our”) and its clients (“Client,” “you,” or “your”) for the provision of large format printing services. By placing an order with Vega Graphic Imaging, the client agrees to these Terms.
1. Orders and Quotations
Quotations: Quotations are valid for 30 days from the date of issue and are subject to change after this period.
Order Placement: Orders are considered accepted upon receipt of a confirmed purchase order or agreement, along with any required upfront payment.
Accuracy of Specifications: Quotations are based on the accuracy of the specifications provided by the Client. Vega Graphic Imaging reserves the right to re-quote a job if the provided materials (e.g., files, artwork) differ from the initial specifications.
Order Cancellation: Orders may be canceled, subject to the stage of production and applicable cancellation fees. Refer to the Cancellation Policy for details. See Section 6 for details on returns and refunds.
2. Client-Provided Materials and Artwork
Artwork Files: The client is responsible for ensuring the accuracy and suitability of all artwork files provided for printing. This includes checking for typos, spelling, punctuation, grammar, design errors, incorrect sizing, or resolution issues.
File Requirements: The client must adhere to specified file requirements, including color mode (e.g., CMYK), minimum resolution (e.g., 300 PPI for photos), and any other format or technical requirements necessary for quality printing.
Content Responsibility: The client agrees not to submit any artwork that is offensive, indecent, illegal, or infringes on the copyright or intellectual property rights of any third party. Vega Graphic Imaging reserves the right to refuse any order deemed inappropriate or unlawful. We will refuse an order which in our opinion may be illegal in nature or an infringement on the rights of any third party.
Customer-Supplied Materials: If the client provides their own materials (e.g., media, fabrics, subtrate), they assume all risk for loss or damage to those materials while in Vega Graphic Imaging’s possession, unless otherwise agreed upon in writing. The client is also responsible for supplying adequate quantities to account for spoilage during production.
3. Production and Quality
Color Matching: Vega Graphic Imaging will make commercially reasonable efforts to match colors as closely as possible to supplied proofs or specifications. However, due to inherent variations in printing processes, materials, and equipment, exact color matches cannot be guaranteed.
Trimming and Finishing: While Vega Graphic Imaging strives for accuracy in trimming and other finishing processes, minor variations (e.g., 1/16th of an inch) may occur and are considered acceptable within industry standards.
Proofs: The client is responsible for final proof and layout approval prior to printing. Any alterations requested after approval or once production has begun may not be possible or may incur additional charges, and no refunds will be given.
Production Schedules: Production schedules are estimates and are subject to change due to factors beyond Vega Graphic Imaging’s control (e.g., equipment malfunction, material delays, weather conditions, acts of God).
4. Payment
Payment Terms: All invoices are due upon receipt or according to the agreed-upon payment schedule. Vega Graphic Imaging reserves the right to require upfront payment for orders, especially new accounts.
Taxes: Applicable taxes (sales, use, etc.) will be added to the invoice and are the client’s responsibility, unless a valid tax exemption certificate is provided.
Collection Costs: The client is liable for all collection costs incurred if payment is not made according to the agreed-upon terms
5. Shipping and Delivery
Shipping Estimates: Shipping and delivery dates are estimates only and cannot be guaranteed. Delays may occur due to factors beyond Vega Graphic Imaging’s control (e.g., carrier issues, weather).
Shipping Errors: Vega Graphic Imaging is not responsible for shipping errors caused by incorrect or incomplete shipping information provided by the client.
6. Returns and Refunds
Defective Products: If the client believes the printed product has defects in workmanship or materials within Vega Graphic Imaging’s control, they must notify the Company in writing within 14 days of receipt.
Resolution: Upon verification of a legitimate defect, Vega Graphic Imaging will, at its discretion, either reprint the order or issue a refund for the defective portion.
Exclusions: This guarantee does not apply to errors caused by client-supplied files (e.g., low-resolution images, incorrect color profiles), shipping damage (which may be handled via separate insurance claims), or issues stemming from factors outside the Company’s control.
Maximum Liability: Vega Graphic Imaging’s maximum liability, whether due to negligence, breach of contract, or otherwise, is limited to the amount invoiced for the specific work in dispute.
Return of Goods: Vega Graphic Imaging reserves the right to require the return of the original order at its expense before reprinting or refunding.
7. Intellectual Property
Client Ownership: The client affirms that they have the necessary rights or licenses for any text, graphics, images, or other intellectual property provided to Vega Graphic Imaging for printing.
Our Ownership: Any designs, layouts, or creative work developed by Vega Graphic Imaging for a project remain its exclusive property, unless otherwise agreed upon in writing.
Copyright: The client may place their copyright on printed materials. If the client chooses not to, Vega Graphic Imaging reserves the right to place its copyright to protect its intellectual property.
8. Limitation of Liability
No Consequential Damages: Vega Graphic Imaging will not be liable for any direct, indirect, punitive, incidental, special, or consequential damages arising from the use of its services or inability to use its products.
Third-Party Websites: Vega Graphic Imaging is not responsible for the content, privacy policies, or practices of any third-party websites linked from its services. It is strongly advised to read the terms and conditions and privacy policies of any third-party websites or services that are visited.
9. Miscellaneous
Severability: If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions shall remain in full force and effect.
Modifications: Vega Graphic Imaging reserves the right, at its sole discretion, to modify or replace these Terms at any time. Material changes will be communicated with reasonable notice.
